Please read these Terms of Service ("Terms") carefully before using the AutoFile platform, website, and mobile application (collectively, the "Service") operated by AutoFile Technology (Pty) Ltd ("AutoFile", "us", "we", or "our"), a company registered in the Republic of South Africa.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Definitions
- "Account" means the account you create to access and use the Service.
- "Content" means any documents, files, images, data, or other materials you upload, store, or transmit through the Service.
- "Organisation" means a workspace within the Service, which may be a standard organisation, an accounting firm, or a client workspace.
- "Subscription" means the paid plan you select to access features of the Service.
2. Accounts and Registration
To use the Service, you must create an Account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
You must notify us immediately at support@autofile.tech upon becoming aware of any unauthorised use of your Account or any other breach of security.
We reserve the right to suspend or terminate Accounts that contain inaccurate information or that violate these Terms.
3. Description of Service
AutoFile is a cloud-based document management platform that enables users to upload, organise, classify, and store documents. The Service includes:
- Document upload and cloud storage via Amazon Web Services (AWS) S3
- AI-assisted document classification and data extraction
- Multi-tenant organisation management
- Mobile application access
- Push notifications and reminders
- Email-based document ingestion
4. Subscriptions and Payment
Access to certain features of the Service requires a paid Subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe.
You agree to provide current, complete, and accurate billing information. If payment fails, we may restrict access to paid features until payment is resolved.
Subscription fees are non-refundable except where required by applicable law. You may cancel your Subscription at any time, and you will retain access to paid features until the end of your current billing period.
We reserve the right to change Subscription fees upon 30 days' written notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
5. Your Content
You retain all ownership rights to the Content you upload to the Service. By uploading Content, you grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Service to you.
You are solely responsible for the Content you upload and must ensure that:
- You have the legal right to upload and store the Content;
- The Content does not violate any applicable law or third-party rights;
- The Content does not contain malicious software or code.
We do not access, review, or share your Content except as necessary to provide the Service, comply with the law, or enforce these Terms.
6. AI-Assisted Features
The Service uses artificial intelligence to assist with document classification, data extraction, and other automated features. While we strive for accuracy, AI-generated results are provided on a best-effort basis and may contain errors.
You are responsible for reviewing and verifying any AI-generated suggestions before relying on them. We are not liable for decisions made based on AI-assisted outputs.
Document content processed by AI features may be sent to third-party AI service providers for analysis. We ensure that such providers are bound by appropriate data processing agreements.
7. Data Storage and Security
Your Content is stored on secure cloud infrastructure provided by Amazon Web Services (AWS). While we implement industry-standard security measures to protect your data, no method of electronic storage or transmission is completely secure.
We are not responsible for any loss, corruption, or unauthorised access to your Content beyond what is within our reasonable control. You are encouraged to maintain your own backups of important documents.
8. Acceptable Use
You agree not to use the Service to:
- Upload or store content that is unlawful, fraudulent, or infringes on third-party rights;
- Attempt to gain unauthorised access to the Service, other accounts, or related systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Use the Service for any purpose other than legitimate document management;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Exceed the usage limits of your Subscription plan.
9. Intellectual Property
The Service, including its design, features, code, and branding, is the exclusive property of AutoFile Technology (Pty) Ltd and is protected by copyright, trademark, and other intellectual property laws of South Africa and international treaties.
You may not reproduce, modify, distribute, or create derivative works based on the Service without our prior written consent.
10. Third-Party Services
The Service integrates with third-party services including, but not limited to, Stripe (payments), Amazon Web Services (storage), and third-party AI providers. Your use of these integrations is subject to the respective third party's terms of service.
We are not responsible for the availability, accuracy, or practices of any third-party service.
11. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.
You may terminate your Account at any time by contacting us at support@autofile.tech. Upon termination:
- Your access to the Service will cease immediately;
- We will retain your Content for a period of 30 days, after which it may be permanently deleted;
- You may request an export of your data prior to termination.
12. Limitation of Liability
To the maximum extent permitted by applicable law, AutoFile Technology (Pty) Ltd, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:
- Your use of or inability to use the Service;
- Any errors, inaccuracies, or omissions in AI-generated results;
- Unauthorised access to or alteration of your Content;
- Any third-party conduct or content on the Service;
- Any interruption or cessation of the Service.
Our total liability to you for any claim arising from or related to the Service shall not exceed the total amount you paid to us in Subscription fees during the twelve (12) months preceding the claim.
13. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
14. Indemnification
You agree to indemnify and hold harmless AutoFile Technology (Pty) Ltd, its directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your Content, or your violation of these Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008, the Protection of Personal Information Act 4 of 2013 (POPIA), and the Electronic Communications and Transactions Act 25 of 2002, where applicable.
For users outside South Africa, these Terms are still governed by South African law, but nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your country of residence.
Any disputes arising from these Terms shall be submitted to the jurisdiction of the courts of the Republic of South Africa, unless otherwise required by the laws of your jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
